Terms & Conditions

These Terms & Conditions ("Terms") form an agreement between you and Spira LLC, a Wyoming limited liability company with a registered address at 30 N Gould St, Ste R, Sheridan, WY 82801, United States ("Spira LLC", "we", "us"). Spira LLC operates the service known as "Sellie" (the "Service"), available at sellie.app. By creating an account, purchasing, or continuing to use the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Sellie is a web application that interviews you about your business and uses artificial intelligence to generate a personalized 30-day, sales-focused content strategy, including a strategy diagnosis, a 30-day content calendar, a bank of additional hooks, and an exportable Excel workbook. Access is sold as a one-time payment that grants 30 days of access to the app from the date of purchase. Nothing renews automatically and you are never charged again unless you choose to buy another 30 days. Workbooks you export during your access period remain yours to keep.

2. Eligibility and your account

• You must be of legal age to enter into a contract in your jurisdiction. If you use the Service on behalf of a company, you confirm you have authority to bind that company.
• You are responsible for keeping your login credentials confidential and for all activity under your account.
• You agree to provide accurate information and to keep it up to date.

3. Licence and restrictions

We grant you a limited, non-exclusive, non-transferable right to use the Service and the strategies it generates for you, including for your own commercial marketing. You may not:

• resell, redistribute, or sublicense the Service or bulk-generated outputs as a competing product;
• reverse engineer, decompile, or attempt to extract our source code, system prompts, or model instructions;
• circumvent usage limits, authentication, payment, or other technical controls.

4. Acceptable use

You must not misuse the Service. In particular, you must not:

• use the Service for any unlawful purpose or in breach of applicable law;
• commit fraud, send spam, or engage in deceptive marketing;
• infringe the intellectual property, privacy, or publicity rights of others;
• interfere with the security or integrity of the Service, including uploading malware, probing or scanning our systems, or scraping data.

5. AI-generated content

• You are responsible for the information you enter, for how you use the outputs, and for verifying their accuracy and suitability before publishing.
• You must have the rights to any content you submit, and you grant us a limited licence to host and process it solely to provide the Service.
• You must not use the Service to generate illegal content, hate speech, deepfakes, harassment, malware, or content designed to mislead consumers, and you must not attempt to jailbreak or subvert the model's safeguards.
• Outputs are generated automatically, may be inaccurate or generic, and are not professional, legal, financial, tax, or medical advice. They should not be used in regulated contexts without qualified human review.
• As between users, you own the strategy content generated for you, to the extent such content is capable of ownership. We may remove, restrict, or filter content, and refuse or moderate outputs, where we reasonably believe these Terms have been breached.
• If you believe content generated or hosted through the Service infringes your rights, contact us at lena@spiracreations.com and we will investigate and act, including removing content and suspending accounts for repeated infringement.

6. Our intellectual property

Spira LLC retains all ownership of the Service and its intellectual property, including the software, interface, documentation, methodology, prompts, and the Sellie branding. No rights are granted other than those expressly stated in these Terms.

7. Payment, billing and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Our refund window is described in our Refund Policy.

8. Service level and warranties

We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. Individual results vary based on effort and implementation; no income or performance results are guaranteed, and any testimonials or examples represent individual experiences only.

9. Suspension and termination

We may suspend or terminate your access if you materially breach these Terms, fail to pay, create a security or fraud risk, or repeatedly or seriously violate our acceptable use rules. Where reasonable we will give notice and an opportunity to fix the issue. On termination you may request an export of your strategy data within 30 days, after which it may be deleted.

10. Liability

To the fullest extent permitted by law, we are not liable for indirect, consequential, or special damages, including loss of profits, revenue, data, or goodwill. Our aggregate liability is limited to the fees you paid in the 12 months before the claim. Nothing in these Terms excludes liability for fraud, death, or personal injury where such exclusion is not permitted by law.

11. Indemnity

You will indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

12. Changes to these Terms

We may update these Terms to reflect changes to the Service or the law. Material changes will be notified in the app or by email, and continued use after the change takes effect means you accept the updated Terms.

13. General

• These Terms are governed by the laws of the State of Wyoming, United States, and the courts of Wyoming have jurisdiction, without limiting mandatory consumer protections in your country of residence.
• You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Neither party is liable for delays caused by events beyond its reasonable control.
• If any provision is unenforceable, the remainder stays in force.
